Acceptance of terms

By accessing or using the Docura service ("Service") you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, do not use the Service.

Description of service

Docura provides a web-based document signing platform that allows users to create reusable templates, send them to signers via email, and collect legally binding electronic signatures. The Service includes a web application, REST API, and optional embeddable SDK.

We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice.

Your account

Registration. To use the Service you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

Accuracy. You agree to provide accurate, current, and complete information when creating your account and to keep it updated.

Eligibility. You must be at least 18 years old to create an account and use the Service commercially.

Termination. We may suspend or terminate your account if you violate these Terms, upon reasonable notice except where immediate termination is necessary to prevent harm.

Acceptable use

You may use the Service only for lawful purposes. You agree not to:

• Use the Service to send fraudulent or forged documents
• Impersonate any person or entity
• Use the Service for spam, phishing, or any deceptive purpose
• Attempt to gain unauthorised access to the Service or other users' accounts
• Reverse-engineer, decompile, or create derivative works from the Service
• Use automated tools to scrape or overload the Service
• Circumvent usage limits or billing mechanisms
• Use the Service to transmit malware or malicious code

We reserve the right to investigate and take action against any violation of these policies, including account termination and referral to law enforcement.

Your content

Ownership. You retain ownership of all documents, templates, and data you upload to the Service ("Your Content"). These Terms do not grant us any ownership rights in Your Content.

Licence to us. You grant Docura a limited, worldwide, non-exclusive licence to host, copy, transmit, and display Your Content solely to provide the Service to you.

Responsibility. You are solely responsible for Your Content and its legality. You represent that you have all necessary rights to upload and share any content you provide.

Deletion. When you delete content or close your account, we will delete Your Content within 30 days, except where retention is required by law or to resolve disputes.

Electronic signatures

The Service facilitates electronic signatures intended to comply with the US Electronic Signatures in Global and National Commerce Act (ESIGN), the Uniform Electronic Transactions Act (UETA), and similar laws in other jurisdictions.

Your responsibility. It is your responsibility to ensure that electronic signatures are legally sufficient for your specific use case and jurisdiction. Docura makes no representation that electronic signatures collected through the Service will satisfy every legal requirement in every context.

Audit records. We retain audit records of signing events for a minimum of 7 years. These records may be used as evidence in legal proceedings.

Payment & subscriptions

Billing. Paid plans are billed monthly or annually in advance. Prices are listed on our pricing page and may be updated with 30 days' notice.

Free trial. Paid plans may include a free trial period. After the trial ends, you will be charged unless you cancel before the trial expires.

Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial periods.

Failed payments. If a payment fails, we will retry for up to 14 days before suspending your account. Your data is retained for 30 days after suspension to allow you to resolve the payment issue.

Money-back guarantee. We offer a 30-day money-back guarantee on new paid subscriptions. Contact support within 30 days of your first charge to request a refund.

Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not warrant the legal enforceability of any electronic signature collected through the Service in any particular jurisdiction.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DOCURA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

Changes to these terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page and send an email to account holders at least 14 days before material changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
